Terms of Service

4.1 Account Creation

When you create an account with Hold-It you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials including your password and Emergency PIN.

4.2 Account Security

You are solely responsible for all activity that occurs under your account. You agree to notify Hold-It immediately at legal@holditexodus.com if you suspect any unauthorized use of your account or any other security breach.

4.3 One Account Per User

You may only maintain one active Hold-It account. Creating multiple accounts is prohibited and may result in immediate termination of all associated accounts.

4.4 Account Accuracy

You agree to keep your account information current at all times including your linked bank account, contact information, and identity verification documents. Providing false or misleading information is grounds for immediate account termination.

4.5 Account Termination

Hold-It reserves the right to suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or any reason deemed necessary to protect the integrity of the platform and its users.

5.1 Illegal Activity

Using the Service for any unlawful purpose or in violation of any applicable federal, state, or local laws or regulations including but not limited to money laundering, fraud, or financing of illegal activities.

5.2 False Information

Providing false, inaccurate, or misleading information during registration, identity verification, or any interaction with the Service.

5.3 Unauthorized Access

Attempting to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service.

5.4 Interference

Interfering with or disrupting the integrity or performance of the Service or the data contained therein.

5.5 Reverse Engineering

Attempting to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any component thereof.

5.6 Automated Access

Using automated scripts, bots, scrapers, or other automated means to access or interact with the Service without express written permission from Hold-It Financial Inc.

5.7 Harmful Content

Uploading, transmitting, or distributing any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.

5.8 Impersonation

Impersonating any person or entity or falsely representing your affiliation with any person or entity.

5.9 Multiple Accounts

Creating multiple accounts to circumvent account restrictions, terminations, or to abuse any promotional offer including but not limited to the Founding Circle Lifetime Access Program.

6.1 Hold-It Ownership

The Service and all content, features, and functionality including but not limited to the Hold-It™ brand, Cold Card™ design, Ghost Shield™ mechanics, vault architecture, software, text, graphics, logos, and user interface are owned by Hold-It Financial Inc and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

6.2 Limited License

Hold-It grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal non-commercial savings goals. This license does not include the right to:

• Reproduce or distribute any portion of the Service
• Modify or create derivative works based on the Service
• Use the Service for any commercial purpose without express written permission from Hold-It Financial Inc
• Remove any copyright, trademark, or other proprietary notices from any portion of the Service

6.3 User Content

By submitting any content to the Service including vault names, goal descriptions, or support communications you grant Hold-It Financial Inc a worldwide, royalty-free, non-exclusive license to use, reproduce, and display that content solely for the purpose of operating and improving the Service.

6.4 Trademark

Hold-It™ is a trademark of Hold-It Financial Inc. You may not use the Hold-It™ name, logo, or brand in any manner without prior written permission from Hold-It Financial Inc. All other trademarks referenced in the Service are the property of their respective owners.

6.5 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service become the sole property of Hold-It Financial Inc. You assign all rights to such feedback to Hold-It Financial Inc without compensation.

7.1 As-Is Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. HOLD-IT FINANCIAL INC EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 No Bank Guarantee

HOLD-IT FINANCIAL INC IS NOT A BANK AND IS NOT FDIC INSURED. USER FUNDS ARE HELD IN FDIC-INSURED FBO ACCOUNTS THROUGH OUR BAAS PARTNER. HOLD-IT FINANCIAL INC DOES NOT GUARANTEE THE PERFORMANCE OR AVAILABILITY OF ANY BAAS PARTNER OR SPONSOR BANK.

7.3 No Financial Advice

NOTHING IN THE SERVICE CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. HOLD-IT FINANCIAL INC IS NOT RESPONSIBLE FOR ANY FINANCIAL DECISIONS MADE BY USERS BASED ON INFORMATION AVAILABLE THROUGH THE SERVICE.

7.4 Service Availability

HOLD-IT FINANCIAL INC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

8.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW HOLD-IT FINANCIAL INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

8.2 Maximum Liability

IN NO EVENT SHALL HOLD-IT FINANCIAL INC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HOLD-IT FINANCIAL INC IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

8.3 Essential Basis

THE LIMITATIONS OF LIABILITY IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE EVEN IF HOLD-IT FINANCIAL INC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.4 Exceptions

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS HOLD-IT FINANCIAL INC'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

8.5 User Funds

NOTWITHSTANDING THE ABOVE NOTHING IN THIS SECTION LIMITS HOLD-IT FINANCIAL INC'S LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT IN CONNECTION WITH THE HANDLING OR ROUTING OF USER VAULT FUNDS.

9.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware without regard to its conflict of law provisions.

9.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in the State of Delaware. You hereby consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

9.3 Compliance With Local Laws

You are responsible for compliance with all applicable local laws in your jurisdiction. Hold-It Financial Inc makes no representation that the Service is appropriate or available for use in all locations. Access to the Service from territories where its content is illegal is prohibited.

10.1 Informal Resolution

Before filing any formal legal claim against Hold-It Financial Inc you agree to first contact us at legal@holditexodus.com and provide a written description of the dispute. Hold-It Financial Inc will attempt to resolve the dispute informally within 30 days of receiving your written notice.

10.2 Binding Arbitration

If the dispute cannot be resolved informally you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Greensboro, North Carolina or remotely at the discretion of the arbitrator.

10.3 Class Action Waiver

YOU AND HOLD-IT FINANCIAL INC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.

10.4 Exceptions

Notwithstanding the arbitration agreement above either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or unauthorized access to the Service.

10.5 Arbitration Costs

Hold-It Financial Inc will pay all AAA filing fees for claims under $10,000 unless the arbitrator determines the claim is frivolous. For claims over $10,000 AAA fee allocation rules apply.

11.1 Right to Modify

Hold-It Financial Inc reserves the right to modify these Terms at any time at our sole discretion. We will provide notice of material changes by updating the "Last Updated" date at the top of these Terms and by sending an email notification to the address associated with your account.

11.2 Continued Use

Your continued use of the Service after any modification to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms you must discontinue use of the Service immediately.

11.3 Review Responsibility

It is your responsibility to review these Terms periodically for changes. Hold-It Financial Inc encourages you to review these Terms each time you use the Service to ensure you understand the current Terms that apply to your use.

11.4 Material Changes

For material changes that significantly affect your rights or obligations Hold-It Financial Inc will provide at least 30 days advance notice before the changes take effect. Non-material changes such as clarifications or corrections take effect immediately upon posting.

12.1 Program Overview

Hold-It Financial Inc grants verified Founding Circle members complimentary access to the Voyager subscription tier ($3.99 per month value) subject to the conditions outlined in this section.

12.2 Eligibility

This offer applies exclusively to the first 500 verified Founding Circle members who joined the Hold-It waitlist prior to the platform launch date. Membership is verified at Hold-It Financial Inc's sole discretion.

12.3 Included Benefits

Complimentary access includes the Voyager tier features as they exist at the time of this offer including Ghost Shield coverage up to $1,000 per trip. Future tier additions or features above the Voyager tier are not included in this offer.

12.4 Duration

Access continues for as long as Hold-It Financial Inc operates the platform and the Voyager tier remains available. This offer is not unconditional and is subject to the conditions outlined in this section.

12.5 Tier Discontinuation

If the Voyager tier is discontinued Hold-It Financial Inc will substitute the nearest equivalent tier at no charge to verified Founding Circle members.

12.6 Non-Transferable

This offer is non-transferable and applies to the original account holder only. Founding Circle benefits cannot be sold, gifted, or transferred to any other person or account.

12.7 Acquisition or Merger

In the event of an acquisition or merger Hold-It Financial Inc will use commercially reasonable efforts to honor this commitment but cannot guarantee continuation of this program under new ownership.

12.8 Termination of Benefits

Hold-It Financial Inc reserves the right to modify or discontinue this offer for accounts found to be in violation of these Terms of Service or engaged in fraudulent activity including but not limited to creating multiple accounts to claim multiple Founding Circle benefits.

12.9 No Cash Value

Founding Circle benefits have no cash value and cannot be redeemed for cash or any monetary equivalent under any circumstances.
